Amper Advances in €155 Million Teltronic Acquisition, Strengthens Critical Communications Focus

Technology group Amper is moving ahead with the acquisition of Teltronic, a Zaragoza-based company specializing in critical communications systems, following an extraordinary general shareholders’ meeting held on Oct. 1. The deal, with a fixed consideration of €155 million, forms part of Amper’s growth strategy in defense, national security, and critical infrastructure, and includes additional contingent consideration of up to €45 million.

The company notified Spain’s National Securities Market Commission (CNMV) of the resolutions approved at the meeting on Oct. 2. The acquisition marks a significant step in the consolidation of Spain’s technology industry, particularly in activities related to secure communications and systems used by essential services and public bodies.

Teltronic develops professional radio communications solutions for environments in which service continuity and reliability are particularly important. Its technologies are used in areas including rail transport, public safety, emergency response, and defense—sectors in which communications networks must meet operational requirements distinct from those of conventional commercial telecommunications.

A transaction with mixed financing

The financial structure presented by Amper includes a fixed price of €155 million for Teltronic as a whole. According to corporate documentation submitted to the CNMV, the transaction combines a capital increase of approximately €44 million, the participation of a co-investor expected to contribute €50 million, and a further €61 million in the group’s own funds.

The transaction also includes a variable component, known as an earn-out, of up to €45 million, subject to the terms agreed for the deal. That amount would be added to the fixed price if the relevant conditions are met.

In its presentation for the extraordinary meeting, Amper said it expected to complete the formal procedures and close the transaction before the end of November. The company also reported that the investor expected to contribute €50 million had formally approved the investment and that the relevant agreement was expected to be signed before the end of October.

Teltronic’s addition is part of Amper’s 2026-2028 Strategic Plan, aimed at expanding its technological and industrial capabilities through organic growth and acquisitions. The group is strengthening its operations in defense, security, and energy, with particular emphasis on proprietary technologies and solutions for strategic infrastructure.

Zaragoza’s role in critical communications

The transaction’s significance for Aragon lies in the integration of a company with an industrial and technological track record in Zaragoza into a group seeking to expand its presence in domestic and international markets.

Teltronic contributes specialized expertise in mission-critical communications, a segment in which systems interoperability, network protection, and communications availability are essential factors. These capabilities have both civilian and military applications, placing the company within the field of dual-use technologies.

For Aragon’s industrial ecosystem, Teltronic’s future will be particularly significant because of its technological activity and ties to sectors that are increasing investment in digitalization and security. However, the documentation reviewed does not yet make it possible to determine the specific effects that the change in ownership will have on employment, facilities, or the company’s future projects in Zaragoza.

In any event, the transaction represents another move toward corporate consolidation in a sector where the development of technological capabilities, industrial scale, and access to new markets are becoming increasingly important.
